И УСЛОВИЯ ПОДПИСКИ LADONI MUSIC
(Platform & Subscription Terms)

Настоящие Условия определяют порядок предоставления Сервиса Ladoni Music, тарифные планы, условия подписки, порядок оплаты, возврата средств и ограничения функционала.
Сервис предоставляется Кондратьевым Олегом Владимировичем, самозанятым (плательщик НПД), ИНН 504713317675, действующим под коммерческим обозначением «Ladoni Music» (далее — «Оператор»), пользователю, зарегистрированному на сайте ladoni.ru (далее — «Пользователь»).
Использование Сервиса означает безоговорочное согласие Пользователя с настоящими Условиями. Условия являются неотъемлемой частью Публичной оферты о заключении лицензионного договора (Distribution Agreement). Термины, используемые в настоящих Условиях, имеют те же значения, что и в Публичной оферте.
1.1. Сервис Ladoni Music предоставляет Пользователю функционал для распространения музыкальных Объектов в Онлайн-сервисах, учёта и распределения вознаграждения, ведения Каталога, формирования отчётов и сопутствующих операций.
1.2. Сервис предоставляется на условиях двух Тарифных планов: «Бесплатный» (Free) и «Платный» (Pro), описанных в разделе 2.
1.3. Пользователь самостоятельно выбирает Тарифный план в Личном кабинете и может изменить его в любой момент с учётом ограничений настоящих Условий.

2.2. Платный тариф (Pro), активируется при наличии оплаченной подписки:
2.3. Конкретные функциональные ограничения, лимиты и состав опций каждого Тарифного плана уточняются на странице тарифов на сайте ladoni.ru и могут обновляться Оператором. Уведомление об изменениях направляется в порядке раздела 7 настоящих Условий.
3.1. Подписка на Платный тариф предоставляется по выбору Пользователя:
3.2. Актуальные цены публикуются на странице тарифов на сайте ladoni.ru и являются неотъемлемой частью настоящих Условий. Текущая цена фиксируется для Пользователя на момент оплаты в течение всего оплаченного периода.
3.3. Оплата производится банковской картой или иным доступным способом, поддерживаемым Сервисом, через защищённый платёжный шлюз. Оператор не хранит полные реквизиты банковской карты; для целей автопродления подписки сохраняется только токен (защищённый идентификатор) карты, предоставляемый платёжным провайдером.
3.4. Подписка активируется в течение 1 (одного) рабочего дня с момента поступления оплаты. С момента активации Пользователь получает доступ к функционалу Платного тарифа и применению ставки роялти 100 % к вознаграждениям, поступающим после даты активации.
4.1. По умолчанию подписка автоматически продлевается на новый период, аналогичный ранее оплаченному, путём списания соответствующей суммы с привязанного способа оплаты Пользователя. Согласие на автопродление и регулярные списания Пользователь даёт явным образом при первой оплате подписки.
4.2. Уведомление о предстоящем автосписании направляется Пользователю на электронную почту не позднее чем за 3 (три) календарных дня до даты списания.
4.3. Пользователь вправе в любой момент отключить автопродление подписки в Личном кабинете. В случае отключения подписка действует до конца оплаченного периода, после чего деактивируется.
4.4. В случае невозможности списания (отсутствие средств, недействительность карты и т. п.) Оператор предпринимает несколько попыток списания в течение 7 (семи) календарных дней; если списание не состоялось, подписка деактивируется, и Пользователь переводится на Бесплатный тариф.
5.1. Пользователь вправе отказаться от подписки и потребовать полного возврата уплаченных средств в течение 14 (четырнадцати) календарных дней с даты первоначальной оплаты или с даты любого нового списания за продление, направив запрос на info@ladoni.ru.
5.2. По истечении 14-дневного периода средства, уплаченные за текущий период подписки, возврату не подлежат. Подписка при этом продолжает действовать до конца оплаченного периода, после чего может быть прекращена Пользователем (отключение автопродления).
5.3. Возврат осуществляется тем же способом, которым произведена оплата, в течение 10 (десяти) рабочих дней с даты получения запроса.
5.4. Право на возврат в 14-дневный срок не применяется, если Пользователь в течение этого срока фактически воспользовался функциями Платного тарифа, доступ к которым предоставляется единоразово и не может быть отозван (например, разовая генерация AI-материалов, питчинг конкретного Релиза в Онлайн-сервисы и т. п.), — в этом случае возврат осуществляется пропорционально, за вычетом стоимости фактически использованных опций.
5.5. Условия настоящего раздела не ограничивают прав Пользователя как потребителя в случаях, прямо предусмотренных Законом Российской Федерации «О защите прав потребителей».
6.1. При отключении автопродления подписка действует до окончания оплаченного периода.
6.2. После окончания подписки и перехода на Бесплатный тариф:

При длительном отсутствии подписки (24 месяца) и одновременно отсутствии активности Пользователя в Личном кабинете (отсутствие входов) Оператор вправе направить Пользователю уведомление о намерении выплатить накопленный остаток вознаграждения и закрыть Учётную запись. Если в течение 60 (шестидесяти) календарных дней с даты направления уведомления Пользователь не возобновит активность и не возразит, Оператор выплачивает накопленный остаток (даже ниже порога) по последним известным реквизитам и закрывает Учётную запись.
6.4. Возобновление подписки в любой момент восстанавливает доступ ко всем функциям Платного тарифа, к снижению порога вывода и применению ставки 100 % к вознаграждениям, поступающим после даты возобновления.
7.1. Оператор вправе изменять состав Тарифных планов, набор функций и цены подписки. Изменения вступают в силу не ранее чем через 30 (тридцать) календарных дней после уведомления Пользователя через Личный кабинет и/или по электронной почте.
7.2. Для Пользователей, оплативших годовую подписку до публикации изменений, новая цена применяется только при следующем продлении подписки.
7.3. При несогласии с изменениями Пользователь вправе отключить автопродление и прекратить использование подписки по окончании оплаченного периода.
7.4. Снижение ставки роялти, применяемой к Пользователю на конкретном Тарифном плане, осуществляется только в порядке, предусмотренном Публичной офертой (раздел 7 Оферты), и не может производиться в одностороннем порядке без согласия Пользователя.
8.1. Оператор не гарантирует бесперебойной работы Сервиса и принятия каждого Релиза в каждый Онлайн-сервис, поскольку это зависит от регламентов и технических возможностей Онлайн-сервисов.
8.2. Оператор не несёт ответственности за временную недоступность Сервиса по причинам, не зависящим от Оператора (сбои у хостинг-провайдера, у Онлайн-сервисов, форс-мажор).
8.3. Положения настоящего раздела не ограничивают ответственность Оператора, прямо предусмотренную императивными нормами законодательства Российской Федерации.
9.1. Настоящие Условия составлены на русском языке и регулируются законодательством Российской Федерации.
9.2. Все вопросы, не урегулированные настоящими Условиями, регулируются Публичной офертой, Правилами сообщества, Политикой конфиденциальности и законодательством Российской Федерации.

LADONI MUSIC SERVICE AND SUBSCRIPTION TERMS

These Terms govern the provision of the Ladoni Music Service, service plans, subscription conditions, payment procedures, refund policy, and functional limitations.
The Service is provided by Oleg Vladimirovich Kondratyev, self-employed (Professional Income Tax payer), TIN 504713317675, operating under the trade name "Ladoni Music" (hereinafter — "Operator"), to a user registered at ladoni.ru (hereinafter — "User").
Use of the Service constitutes the User's unconditional acceptance of these Terms. These Terms form an integral part of the Public Offer (Distribution Agreement). Terms used herein have the same meanings as in the Public Offer.
1.1. The Ladoni Music Service provides the User with tools for distributing musical Objects to Online Services, tracking and distributing remuneration, managing the Catalog, generating reports, and related operations.
1.2. The Service is provided under two Service Plans: "Free" and "Pro" (Paid), as described in Section 2.
1.3. The User independently selects a Service Plan in their Personal Account and may change it at any time subject to the limitations of these Terms.
2.1. Free Plan:
distribution of Releases to all available Online Services;
unlimited number of Releases;
royalty rate: 70% to the User / 30% to the Operator;
basic analytics: total streams per Release;
basic email support (response time up to 5 business days);
minimum payout threshold — 20,000 rubles (or equivalent of 200 euros for payment to a foreign bank account);
Service AI tools are not provided or are available in limited scope (at the Operator's discretion).
2.2. Paid Plan (Pro), activated with a paid subscription:
all Free Plan features;
royalty rate: 100% to the User / 0% to the Operator;
advanced analytics: breakdown by country, platform, day, listener demographics;
playlist pitching (Spotify for Artists, VK Music, Yandex Music, etc., where technically available);
access to Service AI tools (cover and promotional material generation);
priority support (response time up to 1 business day);
reduced minimum payout threshold — 2,000 rubles (or equivalent of 20 euros for payment to a foreign bank account);
ability to connect multiple artists under one account (specific limits stated on the website);
priority Release moderation.
2.3. Specific functional limitations, limits, and features of each Service Plan are detailed on the pricing page at ladoni.ru and may be updated by the Operator. Notice of changes is provided in accordance with Section 7 of these Terms.
3.1. Subscription to the Paid Plan is available, at the User's choice:
monthly — price stated at ladoni.ru;
annually (with a discount relative to monthly billing) — price stated at ladoni.ru.
3.2. Current prices are published on the pricing page at ladoni.ru and form an integral part of these Terms. The price in effect at the time of payment is fixed for the User for the entire paid period.
3.3. Payment is made by bank card or other available method supported by the Service, through a secure payment gateway. The Operator does not store full bank card details; only the card token (a secure identifier) provided by the payment provider is retained for the purpose of subscription auto-renewal.
3.4. The subscription is activated within 1 (one) business day of receipt of payment. From the date of activation, the User gains access to the Paid Plan features and the 100% royalty rate applies to remuneration received after the activation date.
4.1. By default, the subscription automatically renews for a new period identical to the previously paid period by charging the corresponding amount to the User's linked payment method. The User provides explicit consent to auto-renewal and recurring charges at the time of the first subscription payment.
4.2. A notice of the upcoming automatic charge is sent to the User by email no later than 3 (three) calendar days before the charge date.
4.3. The User may cancel auto-renewal at any time in the Personal Account. Upon cancellation, the subscription remains active until the end of the paid period, after which it is deactivated.
4.4. If a charge cannot be processed (insufficient funds, invalid card, etc.), the Operator will make several attempts over 7 (seven) calendar days; if the charge is unsuccessful, the subscription is deactivated and the User is moved to the Free Plan.
5.1. The User may cancel their subscription and request a full refund within 14 (fourteen) calendar days from the date of initial payment or from the date of any subsequent renewal charge, by submitting a request to info@ladoni.ru.
5.2. After the 14-day period, amounts paid for the current subscription period are non-refundable. The subscription remains active until the end of the paid period, after which it may be cancelled by the User (by disabling auto-renewal).
5.3. Refunds are processed by the same method as the original payment, within 10 (ten) business days from the date of receipt of the request.
5.4. The 14-day right to a refund does not apply if the User has, during that period, actually used Paid Plan features that are provided on a one-time basis and cannot be revoked (for example, a one-time AI material generation, pitching a specific Release to Online Services, etc.) — in such cases, a proportional refund is issued, net of the cost of features actually used.
5.5. The provisions of this Section do not limit the User's rights as a consumer in cases expressly provided for by the Law of the Russian Federation "On Consumer Rights Protection".
6.1. Upon cancellation of auto-renewal, the subscription remains active until the end of the paid period.
6.2. After the subscription ends and the User moves to the Free Plan:
the User's Releases are NOT removed from Online Services and continue to be distributed;
remuneration collection for the use of Objects continues;
the Free Plan royalty rate (70%) applies to remuneration received after the deactivation date;
the elevated minimum payout threshold of 20,000 rubles / 200 euros applies;
access to Paid Plan features (advanced analytics, pitching, AI tools, priority support) is suspended;
uploading new Releases and other features not included in the Free Plan may be restricted in accordance with the current Free Plan composition.
6.3. In the event of a prolonged absence of subscription (24 months) combined with no User activity in the Personal Account (no logins), the Operator may send the User notice of intent to pay out the accumulated remuneration balance and close the Account. If within 60 (sixty) calendar days of the date of such notice the User does not resume activity or object, the Operator will pay out the accumulated balance (even below the threshold) to the last known account details and close the Account.
6.4. Renewing the subscription at any time restores access to all Paid Plan features, reduces the payout threshold, and applies the 100% rate to remuneration received after the renewal date.
7.1. The Operator may change the composition of Service Plans, features, and subscription prices. Changes take effect no earlier than 30 (thirty) calendar days after notifying the User through the Personal Account and/or by email.
7.2. For Users who have paid for an annual subscription prior to the publication of changes, the new price applies only at the next subscription renewal.
7.3. If the User disagrees with the changes, they may cancel auto-renewal and stop using the subscription at the end of the paid period.
7.4. A reduction in the royalty rate applicable to the User under a specific Service Plan is carried out only in the manner set out in the Public Offer (Section 7 of the Offer) and may not be made unilaterally without the User's consent.
8.1. The Operator does not guarantee uninterrupted operation of the Service or acceptance of every Release by every Online Service, as this depends on the regulations and technical capabilities of Online Services.
8.2. The Operator is not liable for temporary unavailability of the Service due to reasons beyond the Operator's control (hosting provider failures, Online Service outages, force majeure).
8.3. The provisions of this Section do not limit the Operator's liability expressly provided for by mandatory provisions of Russian Federation legislation.
9.1. These Terms are written in Russian and are governed by the laws of the Russian Federation.
9.2. All matters not covered by these Terms are governed by the Public Offer, Community Rules, Privacy Policy, and Russian Federation legislation.
